LABOR CONTRACT
 
本劳动合同(以下简称“本合同”)的签订日期为2008年6月10日,由以下双方签订:
  (1)          (以下简称“公司”)。公司是一家注册在中华人民共和国(以下简称“中国”)的外商独资企业,注册办公地址为中国上海[    ]。
  (2)          (以下简称“雇员”)。       是一位中国籍公民,中国身份证号码为[],住址为中国[        ]。
THIS LABOR CONTRACT(the“Contract”) is dated 10 June 2008 and made
BETWEEN:
   (1)            Co.,Ltd. (the“Company),a wholly
foreign owned enterprise registered in the People’s Republic of China(“PRC”) ;And
(2)an individual of PRC nationality with PRC identification card number                      [     ] and having its registered office at[         ]PRC.
  
 根据《中华人民共和国劳动合同法》(1995年1月1日生效)和《外商投资企业劳动管理规定》(1994年8月11日生效)和其它有关的中国法律和法规,公司与雇员在友好协商和相互平等的基础上订立了合同。
    Pursuant to the PRC Labor Law (effective from 1 January 1995) and the Provisions for the Administration of Labor in Foreign Investment Enterprises(effective from 11 August 1994) and other relevant PRC laws and regulations, the Company and the Employee agree to enter into this Contract on the basis of mutuality and equality.
   
合同签订双方就以下条款达成一致:
   THE PARTIES AGREE THAT:
1.    合同期限
TERM OF THE CONTRACT
本合同有效期限为2002年7月1日至2003年6月30日,有效期一年,但双方另行协商一致同意或者按本合同有关条款终止合同的情况除外。在合同期限届满前一个月,经双方协商一致,本合同可再续订一年。续订劳动合同之方式为重新签订劳动合同。
This Contract shall be valid 1 July 2002 to 30 June 2003 for a period of one year, unless otherwise agreed between the parties or terminated in accordance with the terms of this Contract. If agreed between the parties, within one month prior to the expiration of the Contract, the parties may renew the Contract for one year. The parties shall execute a new contract for such renewal.
2.    工作职责
2.    NATURE OF DUTIES
(1)公司雇用雇员担任一般雇员。
(1)The Company employs the Employee to serve as General Staff.
 
(2)雇员的职责和责任包括以下内容:一般模具的设计和生产,一般机器的设计和生产,及与供应商和客户的一般性联络。
(2)The scope of the Employee’s duties and responsibilities includes: General mould designing and manufacturing, general machines designing and manufacturing, general communication with supplies and customer.
 
(3)雇员同意遵守公司的规章制度,遵照适用的法律和规章认真履行工作职责和承担有关责任,遵守公司有关内部质量管理体系所提出的有关要求。
(3)The Employee agrees to submit himself to the Company’s rules and regulations and to conscientiously carry out his/her duties and responsibilities in accordance with applicable laws and regulations and to comply with the relevant requirements of the quality management of the Company.
3. 工作时间和假日
3. WORKING HOURS AND HOLIDAYS
(1) 雇员应在其履行本合同项下的职责与职权所合理需要的时间内,履行本合同
项下的义务。雇员同意按照公司的要求(当公司要求时)轮班工作。
(1)The Employee shall perform his/her duties under this Contract during such
hours as may be reasonably necessary for the performance of his/her duties and functions hereunder. The Employee agrees to work in shifts as and when required by the Company.
 
(2) 雇员将享受法定的公共节假日及其其他法定的休假和福利待遇。具体规定
见《员工手册》。
(2) The Employee shall be entitled to statutory public holidays and other
statutory leave and benefits, which are detailed in the “Staff Manual”.
4.劳动保护和工作环境
4. LABOR PROTECTION AND WORKING CONDITIONS
(1) 公司将严格执行有关工作中的健康与安全的制度和标准。公司将遵守国家有
关规定为雇员提供安全和健康的工作环境,配备相应设施以保证工人安全。如果雇员的工作被划分为或者倾向于被划分为危险工作,公司将保证雇员接受定期的健康检查。
(1) The Company shall strictly implement the health & safety rules and standards
at work. The Company should provide the Employee with a safe and healthy working environment in compliance with relevant State regulations, and equipped with the necessary facilities for ensuring the safety of workers. If the Employee’s work is or is likely to be classified as dangerous, the Company shall ensure that the Employee undergoes regular health checks.
 
(2) 雇员必须严格遵守与安全工作制度程序相关的规章制度。对违背这些规章制
度,从而危害雇员生命的指令,雇员有权拒绝接受。对危害安全工作和雇员身体健康的行为,雇员有权投诉。
(2) The Employee shall strictly observe the rules for safe working procedures.
The Employee has the right to reject instructions contrary to regulations, which force the Employee to risk his/her life. The Employee has the right to make complaints in respect of acts that jeopardize safe working and the Employee’s physical health.
5.薪酬
5. REMUNERATION
(1) 雇员的基本工资将为每月人民币[]元(包括个人所得税及缴纳社会保险个人负
担部分),除基本工资外,雇员应享有每月[]元的住宿补贴、[]元的交通补贴和[]元的其他补贴,均按月支付。基本工资和上述补贴按每年十三个月计发。
(1) The Employee’s basic salary shall be RMB[]per month (including individual
income tax and employee’s own social insurance contributions), and the Employee shall in addition to the basic salary receive a subsidy of RMB[]for accommodation, RMB[]for transportation and RMB[]for others, all payable monthly. The basic salary and the above subsidy shall be payable on a thirteen month basis.
 
(2) 公司和雇员每年以书面形式协商确定特定的目标,根据完成目标的情况,将
支付给雇员最高额可达一个月基本工资的工作成绩奖金。公司在每个中国农历年度的第12个月前,将支付雇员获得的奖金。
(2) Performance related bonus amounts up to a maximum of one month’s
basic salary shall be payable on achievement of the specific objectives agreed between the Company and the Employee in writing each year. Any bonus earned shall be paid no late than the 12th full month each Chinese calendar year.
 
(3)工资和奖金的水平将每年进行调整,具体调整将在每年签订的劳动合同中规定。
(3) The levels of salary and bonus will be adjusted annually which will be
provided in the labor contract each year.
(4)根据国家和当地政府的相关规定,并在遵循第[]款的情况下,公司有权从任何
薪酬中扣除个人所得税、住房公积金、养老保险金和其他有关扣除部分。
(4)In accordance with relevant regulations prescribed by the State and local
authorities, subject to Clause [], the Company has the right to withhold from any remuneration payments relevant amounts of individual income tax, contributions to the housing fund, pension fund and other relevant deductions.
6.社会保险和福利
6. SOCIAL INSURANCE AND WELFARE
(1) 公司将按照当地政府的标准为雇员缴纳养老保险金 失业保险金和其他社会
保险金或将委托一有资格的对外服务公司代办缴费事宜。雇员也应按照有关规定缴纳保障金的个人负担部分。
(1)The Company shall subscribe to the pension fund ,unemployment insurance
and other social insurance funds for the Employee in accordance with the standards prescribed by the local government or shall entrust a qualified foreign service organization to deal with such subscriptions on its behalf. The Employee shall also contribute his/her share of social insurance in accordance with relevant stipulations.
 
(2)公司将遵守有关雇员其他福利待遇的国家有关规定。
(2)The Company shall abide by the relevant State regulations in relation to
other welfare matters relating to the Employee.
7. 教育和培训
7. EDUCATION AND TRAINING
(1) 在职业道德 安全工作和其他与雇员职责有关的专业技术方面,公司将提供合
适的培训计划。
(1) The Company will offer appropriate training programs on business ethics,
work safety and other specialized techniques relevant to the duties of the Employee.
(2) 公司在为雇员提供有关培训之前,将根据培训的具体内容自行决定时候要求
雇员签订与培训相关的协议,以就培训的内容 支付培训费用的条件等做出安排。
(2)The Company may , before providing training ,at its discretion require the
Employee to enter into an agreement with respect to the training , which may include provisions on the content of the training program and conditional payment of training costs by the Company.
(3)虽然有上述  条之规定,如果由于雇员的原因而导致本合同提前终止,公司有
权向雇员收取公司培训雇员而发生的 应由雇员分摊的有关费用,而不论公司是否与雇员就相关培训签订专门协议。
(3)Notwithstanding clause above, where this Contract is terminated before
expiration due to reasons caused by the Employee , the Company has the right to claim reimbursement from the Employee for relevant expenses incurred in training the Employee irrespective of conclusion of the special training agreement.
8.劳动纪律
8. LABOR DISCIPLINE
(1)雇员应尽其所能 全心全意地投入其在公司的工作。非经公司书面同意,
不得通任何第三方缔结任何性质的劳动雇用关系。
(1)The Employee shall devote his/her full attention and ability to his/her duty to
the Company. Without written approval from the Company, the Employee may not maintain another paid employment in whatever nature with any third parties.
 
(2)公司将向雇员提供关于劳动法律法规和公司内部规章制度的必要信息
(2)The Company shall provide the Employee with necessary information on
labor laws and regulations and the Company internal rules and regulations.
 
(3) 雇员应遵守和服从公司领导层和指令。
(3)The Employee shall observe and comply with the Company leadership and
instructions.
(4) 雇员应遵守公司制定的各项规章制度,这些规章制度包括不时发布的公司工
作规则及程序和员工手册。
(4)The Employee shall comply with all the rules and regulations formulated by
the Company, including labor rules and procedures of the Company issued from time to time and the Staff Manual.
(5) 如果雇员违反了劳动法和相关法规 违反了公司任何规章制度 给公司造成损
害或给雇员本人或其他人造成损害 或未能达到所处职位所要求的业绩标准 公司有权对雇员实施处罚。根据下面第 条的规定,在严重的情形下公司可以解雇雇员。
(5)If the Employee breaches labor law and relevant regulations, violates any
rules and regulations of the Company, causes injury to himself/herself or other persons, or fails to achieve the performance standards required of an Employee occupying his/her position, the Company in accordance with clause below.
9.试用期
9. PROBATION PERIOD
自本合同生效之日起,前三个月为试用期。
The probation period shall be the first three months upon effectiveness of this
Contract.
10.合同终止
10. TERMINATION
(1) 如果以下任何情况发生,公司可以在任何时候终止本合同:
A.雇员在试用期间被公司认为不符合录用条件
B.雇员被发现有贪污或者盗用挪用公款的行为
C.雇员严重玩忽职守,营私舞弊或对公司利益造成重大损害
D.雇员严重违反劳动纪律或者公司规章制度或员工手册
E.雇员严重违反本合同
F.雇员有违反法律法规规定的其他行为
 
(1)The Company may terminate this Contract at any time if the Employee:
A. is considered by the Company to be not being up to the requirements for
recruitment during the probation period
B. is found guilty of corruption or embezzlement
C. seriously neglects his/her duties, engage in malpractice for selfish ends or
other irregularities resulting in grave losses to the interests of the Company
D. seriously violates labor discipline or the rules and regulations and Staff
Manual of the Company
E. commits a serious breach of this Contract
F. is investigated for criminal liability in accordance with the law or
G. engages in other activities which breach laws and regulations
(2) 在下列任何情形下,公司可以提前30天以书面形式通知雇员终止本合同:
A.雇员由于生病或者非工作原因的受伤而在医疗期结束后不能承担原来的工作,
并且也不能从事公司安排的其他工作
B.经过培训或者调动岗位后,雇员仍不能胜任工作:或
C.本合同签订时的客观环境发生了变化致使本合同不可能执行,而双方经过磋商
无法就本合同的修订达成一致意见。
(2)Under any of the following circumstances, the Company may terminate this
Contract upon 30 days written notice to the Employee:
A. the Employee falls ill or sustains a non-industrial injury and cannot resume
his/her original work or engage in other work arranged by the Company after expiration of the period of medical treatment
B. The Employee is not able to work competently after receiving training or
being transferred to another job or
C. a change occurring to any of the objective circumstances under which the
Contract was concluded renders the Contract impossible to perform, and the parties are unable to reach an agreement on amendments to the Contract after consultation.
(3) 在下列任何情形下,公司不得根据上条的规定终止本合同:
A.如果雇员患有职业疾病或者因公受伤并已经经过有关权威部门确定为丧失或者
部分丧失劳动能力
B.雇员由于生病或者受伤处于法律规定的医疗期内时或
C.其他法律或者行政规章规定的情况。
(3) Under any of the following circumstances, the Company may not terminate
this Contract in accordance with the above clause:
A. if the Employee has an occupational disease or has been injured at work and
has been confirmed by the relevant authority as having lost or partially lost the ability to work
B. if the Employee is still within a specified period for medical treatment for
illness or injury as provided by law or
(4) 如果雇员要求终止合同,应提前一个月书面通知公司。
(4) If the Employee intends to terminate this Contract, the Employee shall
provide one-month s advance notice in writing to the Company.
(5) 在以下任何情形中,雇员可以随时通知公司终止本合同而不需要提前通知:
A.在试用期内
B.公司未能按本合同有关条款支付雇员报酬或提供劳动条件 或者
C.公司以暴力 威胁或者非法限制人身自由的手段强迫雇员劳动。
(5) Under any of the following circumstances, the Employee may inform the
Company and terminate this Contract at any time without giving prior notice to the Company;
A. during probation period
B. the Company fails to pay the Employee his/her remuneration or to provide a
working environment in accordance with the terms of this Contract or
C. when the Company induces forced labor through violence, threats, or any
other means which jeopardized the personal freedom of the Employees.
(6)以下任何一种情况下,本合同将终止“
A.本合同期满
B.本合同双方一致同意终止本合同
C.公司宣布破产关闭或者被清算委员会接管或者由于不可抗力原因公司将停止经营 或者
D.雇员退休 退职 死亡 或者被宣布死亡或者由于与公司或工伤无关的原因导致雇员不能工作。
(6)This Contract shall terminate under one of the following circumstances:
A. this Contract expires
B. both parties agree to terminate this Contract
C. the Company is declared insolvent close a liquidation committee is
appointed or the Company ceases trading as the result of an event of force majeure or
D. the Employee retires, resigns, dies or is declared to be dead or is unable to
work for reasons other than those relating to the Company or a work-related injury.
11.违约责任
11. RESPONSIBILITIES FOR BREACH OF CONTRACT
(1) 任何一方违反本合同有关条款给另一方造成损失的,违约方应负责赔偿另一
方相应的损失。如雇员在合同期限内,除第 条和 条的规定外,提前终止合同的雇员应向公司支付相当于  个月的全部工资的金额作为违约金。
(1)In the event that either party breaches any of the provisions of this Contract
and this results in the other party incurring losses, the party in breach shall be liable to compensate the other party for the corresponding losses. If the Employee terminates this Contract earlier, other than as provided in clauses and the Employee shall pay month’s salary to the Company as penalty.
(2) 如果雇员违反本合同有关条款给公司造成了损失,公司有权从雇员应得薪酬
中扣除相当于损失的部分,如果雇员薪酬不足以补偿损失,公司有权从雇员处获得差额赔偿。
(2) If the Employee breaches any provision of this Contract which results in the
Company suffering losses, the Company shall have the right to deduct a sum
representing the losses from payments due to the Employee and if the same is insufficient to cover the losses, the Company shall be entitled to recover the balance from the Employee.
12.劳动争议
12. LABOR DISPUTES
公司与雇员之间就本合同产生的任何争议应按照以下劳动争议处理程序处理:
Any disputes between the Company and the Employee arising from this
Contract shall be handled in accordance with the following labor dispute handling procedures:
 
(1) 公司和雇员将尝试通过协商来解决争议 如果在30天内不能够协商解决或协商解决失败,任何一方可以向劳动仲裁委员会申请仲裁
(1) The Company and the Employee will attempt to resolve the dispute through consultations if they are unable to or fail to resolve the dispute within 30 days, either party may apply to the labor dispute arbitration committee for arbitrations
 
(2) 劳动争议发生后任何一方或双方可直接向劳动争议仲裁委员会申请仲裁
Either or both parties may directly apply to the labor dispute arbitration committee for arbitration after the commencement of the dispute
(3) 任何一方对仲裁结果不服的,可以在收到仲裁判决通知的15天内向有管辖权的人民法院起诉。
(3) If either party disagrees with the arbitration ruling, the party may file a proceeding in a People Court with competent jurisdiction within 15 days of receiving the notice of an arbitration ruling.
13.保密与竞争
13. COMPETITION AND CONFIDENTIALITY
(1) 在雇员被公司雇用期间和本合同结束后的两年内,雇员保证以下内容:
A.本合同的条款和规定
B.由公司向雇员披露 或雇员接触到的由雇员开发的所有关于公司及任何与公司
有关的商业组织的组织程序 管理程序 技术 市场营销 商务或者财务方面的信息 以及
C.有关公司产品 程序 商务和服务的信息以及任何商业机密,雇员应对其保密,
并同意:未经公司事先书面批准,不以任何方式向任何公司内或者公司外的的人直接地或者间接地披露任何以上信息,除非是由于雇员履行本合同所规定义务和工作职责的严格需要(或者是向公司当时的股东披露)。雇员特别保证这一约束在合同终止后仍然有效。
(1) During his/her employment as an Employee of the Company and for a
period of years after the expiration or termination of this Contract, the Employee agrees to ensure that:
A. the terms and conditions of this Contract
B. all information which has been disclosed to or discovered, or developed by
the Employee concerning any construction or management process, technology, marketing, business or financial information of the Company or any business entity affiliated with the Company and
C. information relating to the products, procedures, business and services of
the Company and any trade secrets, shall be maintained in the strictest confidence and agrees not to disclose any such information, directly, or indirectly, in any manner, to any person inside or outside the Company without the prior written consent of the Company other than where such disclosure is strictly necessary for the Employee performance of his/her duties and obligations under this Contract (or to the current equity holders in the Company). The Employee specifically undertakes that this obligation will survive the termination of this Contract.
 
(2)无论是因为何种原因本合同终止或合同到期,雇员都应立即向公司归还其
拥有的文件 图纸 备忘录 客户名片 名片(包括本人的和被雇用期间收集的) 钥匙 电脑磁盘 公式 商业信息 业务计划 总体规划抄件 财务报告和营销信息,以及任何其他与公司有关的或者公司签订的文件的任何抄件,无论这些抄件记录在或者复制在何种媒介物上。
(2)Upon expiration or termination of this Contract for any reason, the
Employee shall promptly return to the Company all documents, drawings, blueprints, memoranda, client lists, business cards, both personal and those collected during his/her employment, keys, compute disks, formulae, business information, business plans, Master Plan copies, financial statements and marketing information of the Company in the possession of the Employee, as any copies of documents relating to or entered into by the Company, regardless of the medium in which they are recorded or reproduced.
 
(3) 雇员同意:除非得到公司的同意,在雇员被公司雇用期间和雇用期结束后两
年内,在中国境内任何地方,雇员不与公司竞争并且不与任何可能与公司竞争的实体签订任何合同 协议或者约定,也不拥有任何此类实体的资本股权或者股票,不与任何此类实体缔结个人商务条约或者做生意。作为雇员做出上述应允的前提,为补偿雇员在这段时间内因未能得到公司同意而放弃被公司竞争者雇用的权利而遭受的损失,公司需要支付给雇员合理的补偿金。雇员违反本条款造成的损失将由雇员赔偿给公司,同时对每次该项违约行为均应处以相当于雇员 个月的薪酬的罚金。该罚金的支付并不能使雇员不受本竞业禁止条款的约束。
(3) The Employee agrees that he/she will not anywhere within the PRC during
his/her period of employment with the Company and for a period of two years thereafter, compete with the Company nor will he/she enter into any other contract, or agreement, or arrangement with or hold any equity interest, the Company provided that the Company shall pay reasonable compensation to the Employee for the loss of by the Company). Losses arising from the violation of this clause shall be compensated by the Employee violation. A payment of such fine does not release the Employee from this non-competition clause.
14.适用法律
14. GOVERNING LAW
本合同将由中国的法律法规管辖并据以解释。
This Contract shall be governed and interpreted in accordance with PRC laws
and regulations.
15.其他事宜
15. MISCELIANEOUS
(1)本合同未规定的事宜可以按照现有的有关法律法规处理。
(1)Matters that are not stipulated in this Contract may be dealt with in
accordance with existing laws, rules and regulations.
 
(2)本合同以中文和英文书就,如有异议以中文文本为准。
(2)This Contract shall be written in both Chinese and English. In the event of
any inconsistency between both Chinese version shall prevail.
 
(3)本合同一式两份,雇员与公司各执一份。每份合同均具有法律约束力。
(3)This Contract is reproduced in two original counterparts, one of which is to
kept by the Employee, and one of which is to be kept by the Company.
 
本合同于2002年4月10日在上海签署。
This Contract is executed in Shanghai on April 10th 2002.
